1. Overview of Our Services

AgenThink provides a platform that enables individuals, teams, and organizations to create, deploy, and manage AI Agents, workflows a.k.a. Thinkflows using a no-code environment.

• No-code Agentic Playground for designing, deploying, and running agentic workflows.
• Marketplace for publishing, sharing, or monetizing flows.
• Enterprise-grade APIs, Agents, AI Models, and tools for integration.
• Hiring of Developers and Data Scientists via ThinkHire platform.

2. Eligibility

To use AgenThink, you must:

• Be at least 18 years old (or the legal age in your region).
• Have authority if acting for an organization.
• Use the Services only for lawful purposes.

3. Account Registration and Security

To access certain features,you must create an account. you agree to:

• Provide accurate and complete registration information.
• Maintain confidentiality of your credentials.
• Notify us immediately of any unauthorized access.
• Accounts violating our Terms may be suspended or terminated.

4. Acceptable Use

You agree not to use AgenThink to:

• Violate any laws in the jurisdiction of the user and UAE, regulations, or third-party rights.
• Upload or distribute malicious code, malware, or deceptive code/data.
• Attempt to access, interfere with, or disrupt our systems or other users' accounts.
• Use AgenThink to develop or distribute harmful, deceptive, or discriminatory AI models or agents.
• AgenThink may monitor usage to maintain platform integrity and compliance.

5. Intellectual Property

All intellectual property in the AgenThink platform, UI, APIs, design systems, and documentation belongs to AgenThink Ltd or its licensors. Users retain ownership of their original content, datasets, or agentic flows they create, subject to AgenThink's right to host and display that content as part of the Services.

6. Creator Content & Marketplace

If you publish or share Thinkflows or Agents via our Marketplace:

• You grant AgenThink a non-exclusive, royalty-free license to host, display, and distribute your content for platform functionality.
• You represent that your content does not infringe any third-party rights.
• DYou agree not to upload confidential or sensitive data unless explicitly protected under an enterprise agreement or legally permitted.

AgenThink reserves the right to review, remove, or restrict content that violates platform standards or applicable laws.

7. Data Usage and Model Outputs

AgenThink may temporarily process input data, API calls, and generate outputs to provide, improve, or secure our Services. We do not claim ownership of your proprietary data or outputs. Usage analytics and aggregated statistics may be used internally for platform performance and quality improvement, always in compliance with our Privacy Policy.

8. Payment and Subscriptions

If you subscribe to paid plans:

• Fees, billing cycles, and refund policies are defined at the time of purchase.
• Non-payment or misuse may lead to suspension or termination of access.
• All payments are handled through secure third-party processors compliant with international standards.

9. Termination

• You may terminate your account at any time by contacting us or through our platform.
• We may suspend or terminate access if you breach these Terms, misuse the platform, or engage in unlawful activities.
• Upon termination, your license to use our Services ceases immediately, though certain sections (such as IP, liability, and indemnity) will survive.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available". We do not guarantee uninterrupted availability or error-free performance. AgenThink disclaims all warranties, express or implied, including fitness for a particular purpose or non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, AgenThink and its affiliates are not liable for any indirect, incidental, or consequential damages arising from:

• Your use or inability to use the Services.
• Unauthorized access or data loss.
• Any conduct or content of third parties on the platform.

12. Indemnification

You agree to defend, indemnify, and hold harmless AgenThink and its affiliates from any claims, damages, or expenses arising out of your use of the Services, your content, or your breach of these Terms.

13. Changes to Terms

We may update these Terms periodically. Any changes will be posted here with a new "Last Updated" date. Continued use after such changes constitutes acceptance of the revised Terms.

14. Governing Law & Jurisdiction

• These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, with jurisdiction in the Courts of Abu Dhabi, Emirate of Abu Dhabi, UAE as per ADGM applicable laws.
• Any disputes, controversies, or claims shall be finally resolved through arbitration in accordance with the UAE Federal Arbitration Law No. 6 of 2018, and the seat of arbitration shall be Abu Dhabi, UAE.
